The mobile application and website (collectively referred to as the “Platform”) are operated and managed by Matrix Secure Applications (hereinafter referred to as “Company,” “We,” “Us,” or “Our”). You can access the complete company details at https://matrix-secure.in 

These Terms and Conditions (hereinafter referred to as “Terms”) govern your use of the Platform. For the purpose of these Terms, the terms “You,” “Your,” or “User” refer to any individual or entity accessing or using the Platform. By accessing or using our Platform, you agree to these Terms. If you do not agree, you may not use the services of Matrix Secure Applications.


Matrix Secure Applications reserves the unconditional right to modify or amend these Terms at any time. You are encouraged to review the modified Terms periodically to remain aware of such changes. Your continued use of the Platform after any modifications constitutes your acceptance of the new Terms.

INTELLECTUAL PROPERTY RIGHTS

All logos, brands, trademarks, and service marks (“Marks”) appearing on the Platform are the properties either owned or used under license by Matrix Secure Applications and/or its associates. All rights accruing from the same, statutory or otherwise, wholly vest with Matrix Secure Applications and/or its associates. Access to the Platform does not confer upon the User any license or right to use these Marks, and any use of these Marks in any form or manner is strictly prohibited. Violations may constitute an offense under the prevailing laws of India.


Matrix Secure Applications respects the Intellectual Property Rights of all and will continue to adhere to all applicable laws in this respect. If a User is found to be using the Platform to infringe the Intellectual Property Rights of others, Matrix Secure Applications may terminate this Agreement without notice. 

By allowing Users to access the Platform, Matrix Secure Applications grants a limited, non-exclusive, non-assignable, revocable license (“License”) to access and use the services, provided that the User complies with these Terms.


You expressly agree not to:
1. Copy and distribute information from the Platform on any other server, or modify or re-use information, text, graphics, sound, etc. without express written consent.

2. Remove any copyright, trademark, or other intellectual property notices contained in the original material from any material copied or printed off the Platform without our express written consent. Violations of system or network security may result in civil or criminal liability.


INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Matrix Secure Applications and/or its associates, subsidiaries, their officers, directors, employees, affiliates, licensees, business partners, and agents from any claims, actions, or demands, including reasonable legal and accounting fees, arising from your use of the Platform or your breach of these Terms or any applicable law.


Matrix Secure Applications will not be a party to any legal proceedings between parties contracted through the Platform. In case Matrix Secure Applications is implicated in any legal proceedings, costs will be recovered from the party that names Matrix Secure Applications in such proceedings.


TERMS AND CONDITIONS FOR SERVICE PROVIDERS

If you are a dealer, builder, bank, or payment gateway using the Platform, you agree to comply with the following:

– You will comply with all applicable Data Protection Laws in relation to processing personal data and not process personal data that is irrelevant, unlawful, or excessive regarding the agreed purposes defined in the Privacy Policy and these Terms.

– You will implement adequate technical and organizational controls to protect shared personal data against unauthorized processing and accidental loss, destruction, damage, alteration, or disclosure.

– You agree to assist in handling any Data Security Breach in a compliant manner.

– You acknowledge that the responsibility for responding to individual requests regarding personal data lies with the party holding or processing the data.

– You warrant that you will not disclose or transfer personal data obtained from the Platform to any sub processors without ensuring adequate safeguards.

– You shall retain or process shared personal data only as long as necessary to carry out the agreed purposes.



ARBITRATION

If any dispute arises between a user and Matrix Secure Applications concerning the validity, interpretation, implementation, or alleged breach of these Terms, the dispute shall be referred to a sole arbitrator identified by Matrix Secure Applications. The decision of the arbitrator shall be final and binding. The place of arbitration shall be Bengaluru, India, and the Arbitration and Conciliation Act, 1996 shall govern the arbitration proceedings.


SEVERABILITY OF PROVISIONS
If any provision of these Terms is found to be invalid or void by any law, rule, or regulation, such invalidity shall not affect the enforceability of any other provision of these Terms.

JURISDICTION
Courts at Bengaluru, India shall have exclusive jurisdiction in all matters relating to the Platform and these Terms, irrespective of the territory or jurisdiction from which you access the Platform.

Matrix Secure Applications reserves all other rights.
